Agreement between User and ViceNetwork.com
The ViceNetwork.com website (the "Site") is comprised of various web pages, servers, and mediums operated by Vice Gaming Network ("VGN"), which is a wholly owned subsidiary of Vice Network, Inc. ViceNetwork.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of ViceNetwork.com constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.
ViceNetwork.com is an Online Gaming Community with Proprietary Media Packs, servers, website, recreational information and various mediums of media, and Site We are glad to present to you a high performance community focused on collaborating toward an immersive experience.
Visiting ViceNetwork.com or sending emails to VGN constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and the Site, satisfy any legal requirement that such communications be in writing.
If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that VGN is not responsible for third party access to your account that results from theft or misappropriation of your account. VGN and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.
VGN does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use ViceNetwork.com only with permission of a parent or guardian.
You may cancel your subscription and membership at any time and irrevocably agree to refrain from redistributing any and all proprietary packs, scripts, communication, or anything associated with VGN.
Links to third party sites/Third party services
ViceNetwork.com may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of VGN and VGN is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.
VGN is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by VGN of the site or any association with its operators.
Certain services made available via ViceNetwork.com are delivered by third party sites and organizations. By using any product, service or functionality originating from the ViceNetwork.com domain, you hereby acknowledge and consent that VGN may share such information and data with any third party with whom VGN has a contractual relationship to provide the requested product, service or functionality on behalf of ViceNetwork.com users and customers.
No unlawful or prohibited use/Intellectual Property
All content, EXCEPT those EXCLUDED and protected by LEGAL COPYRIGHT, or claimed under DMCA protection, included as part of the Service, such as text, proprietary graphics, proprietary logos, images, servers, packs, media content and recreational information as well as the compilation thereof, and any software used on the Site, is the property of VGN or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.
You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site, servers, TeamSpeak©, media content, and proprietary packs. VGN content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of VGN and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of VGN or our licensors except as expressly authorized by these Terms.
Use of communication services
The Site or servers may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.
By way of example, and not as a limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, malicious, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded, restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.
VGN has no obligation to monitor the Communication Services. However, VGN reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. VGN reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.
VGN reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in VGN's sole discretion.
Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. VGN does not control or endorse the content, messages or information found in any Communication Service and, therefore, VGN specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized VGN spokespersons, and their views do not necessarily reflect those of VGN.
Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.
Materials provided to ViceNetwork.com or posted on any VGN web page, servers, packs
VGN does not claim ownership of the materials you provide to ViceNetwork.com (including feedback and suggestions) or post, upload, input or submit to any VGN Site or our associated services (collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting your Submission you are granting VGN, our affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.
No compensation will be paid with respect to the use of your Submission, as provided herein. VGN is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in VGN's sole discretion.
By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.
Third Party Accounts
You will be able to connect your VGN account to third party accounts. By connecting your VGN account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.
The Service is controlled, operated and administered by VGN from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the VGN Content accessed through ViceNetwork.com, TeamSpeak3, servers, or media content in any country or in any manner prohibited by any applicable laws, restrictions or regulations.
You agree to indemnify, defend and hold harmless VGN, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. VGN reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with VGN in asserting any available defenses.
In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrators’ award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.
Class Action Waiver
Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Employer agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
VGN reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of New York and you hereby consent to the exclusive jurisdiction and venue of courts in New York in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and VGN as a result of this agreement or use of the Site. VGN's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of VGN's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by VGN with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and VGN with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and VGN with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.
Vice Gaming Network discloses that any image not developed by the site is copyrighted and trademarked by their respective holders. Displaying an image on the site is done to increase immersion and users should seek approval from respective entities before reproducing any of the images found on this informational site. ViceNetwork.com does not grant the use of any proprietary document or works to any other medium. Users are expected to seek the approval of requisite vendors prior to utilizing their respective site materials. The display of an image is not intended to create an association for any financial gain, rather to allow users to identify themselves by common interests. All rights remain reserved by their respective owners. Any unauthorized images will be removed at the request of the copyright holder. Redistribution of content obtained via the site, TeamSpeak, Server, and any other medium controlled by Vice Gaming Network is strictly forbidden. Recording, streaming, or producing any works on any Vice Network medium mandates the user to abide by this TOS and is strictly forbidden without express written consent.
User Content and Consent
By posting User Content to any part of the Site, TeamSpeak, Server, or any other medium controlled by Vice Gaming Network, you automatically grant, and you represent and warrant that you have the right to grant, to the Company an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such User Content for any purpose, commercial, advertising, or otherwise, on or in connection with the Site or the promotion thereof, to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing.
Donations and Transactions via Third-Party Processing Vendors
Vice Gaming Network is a Non-Profitable collective of individuals who bond together around common interests. The minimum monthly overhead charges are posted in the donation box along with the amount of funds that have been collected for that period, which does not include the incidentals. Since there are no goods, services, or commodities that are for sale, or otherwise advertised by the collective members, there shall be no dispute rooted in failure to provide commodities, goods, and/or services. Furthermore, any contracts, express or implied between the purchaser and another member directly shall not constitute grounds for dispute as stipulated in the website Terms of Service, hereinafter referred to as the TOS. All members are required to read and agree to the website TOS when signing up for the website. By agreeing to the TOS you agree that this site does not directly engage in the sale of any commodity, good, or service. The community collects donations only to cover the costs incurred for maintaining the community, which may fluctuate depending on any number of interdependent variables. Vice Gaming Network strongly urges consumers to conduct their respective due diligence before entering into third-party negotiations with other members and non-community members.
Changes to Terms
Vice Gaming Network reserves the right, in its sole discretion, to change the Terms under which ViceNetwork.com and all other wholly owned subsidiaries are offered. The most current version of the Terms will supersede all previous versions. VGN encourages you to periodically review the Terms to stay informed of our updates.

Anti-discrimination and Harassment
Vice Network Inc. and its subsidiaries are committed to an environment in which all individuals are treated with respect and dignity. Each individual has the right to enjoy an atmosphere that promotes equal advancement opportunities and prohibits unlawful discriminatory practices, including harassment. Therefore, Vice Network Inc. and its subsidiaries expects that all relationships among persons will be respectful and free of bias, prejudice and harassment.
Vice Network Inc. and its subsidiaries has developed this policy to ensure that all its members can work in an environment free from unlawful harassment, discrimination and retaliation. Vice Network Inc. and its subsidiaries will make every reasonable effort to ensure that all concerned are familiar with these policies and are aware that any complaint in violation of such policies will be investigated and resolved appropriately.

These policies should not, and may not, be used as a basis for excluding or separating individuals of a particular gender, or any other protected characteristic, from participating in business or work-related social activities or discussions. In other words, no one should make the mistake of engaging in discrimination or exclusion to avoid allegations of harassment. The law and the policies of Vice Network Inc. and its subsidiaries prohibit disparate treatment on the basis of sex or any other protected characteristic, with regard to terms, conditions, privileges and perquisites of membership. The prohibitions against harassment, discrimination and retaliation are intended to complement and further those policies, not to form the basis of an exception to them.
Equal membership opportunity
It is the policy of Vice Network Inc. and its subsidiaries to ensure equal membership opportunity without discrimination or harassment on the basis of race, color, religion, sex, sexual orientation, gender identity or expression, age, disability, marital status, citizenship, national origin, genetic information, or any other characteristic protected by law. Vice Network Inc. and its subsidiaries prohibits any such discrimination or harassment.
Vice Network Inc. and its subsidiaries encourages reporting of all perceived incidents of discrimination or harassment. It is the policy of Vice Network Inc. and its subsidiaries to promptly and thoroughly investigate such reports. Vice Network Inc. and its subsidiaries prohibits retaliation against any individual who reports discrimination or harassment or participates in an investigation of such reports.
Sexual harassment constitutes discrimination and is illegal under federal, state and local laws. For the purposes of this policy, “sexual harassment” is defined, as unwelcome sexual advances, requests for sexual favors and other verbal or physical conduct of a sexual nature when, for example: a) submission to such conduct is made either explicitly or implicitly a term or condition of an individual’s membership, b) submission to or rejection of such conduct by an individual is used as the basis for membership decisions affecting such individual, or c) such conduct has the purpose or effect of unreasonably interfering with an individual’s work performance or creating an intimidating, hostile or offensive working environment.
Title VII of the Civil Rights Act of 1964 recognizes two types of sexual harassment: a) quid pro quo and b) hostile...environment. Sexual harassment may include a range of subtle and not-so-subtle behaviors and may involve individuals of the same or different gender. Depending on the circumstances, these behaviors may include unwanted sexual advances or requests for sexual favors; sexual jokes and innuendo; verbal abuse of a sexual nature; commentary about an individual’s body, sexual prowess or sexual deficiencies; leering, whistling or touching; insulting or obscene comments or gestures; display in the workplace of sexually suggestive objects or pictures; and other physical, verbal or visual conduct of a sexual nature.
Harassment on the basis of any other protected characteristic is also strictly prohibited. Under this policy, harassment is verbal, written or physical conduct that denigrates or shows hostility or aversion toward an individual because of his or her race, color, religion, sex, sexual orientation, gender identity or expression,national origin, age, disability, marital status, citizenship, genetic information, or any other characteristic protected by law, or that of his or her relatives, friends or associates, and that: a) has the purpose or effect of creating an intimidating, hostile or offensive ...environment, b) has the purpose or effect of unreasonably interfering with an individual’s... performance, or c) otherwise adversely affects an individual’s membership opportunities.
Harassing conduct includes epithets, slurs or negative stereotyping; threatening, intimidating or hostile acts; denigrating jokes; and written or graphic material that denigrates or shows hostility or aversion toward an individual or group that is placed on walls or elsewhere on the accessible member areas or circulated in the member environment, while utilizing a communication medium, or using communication equipment by e-mail, phone (including voice messages), text messages, social networking sites or other means.
Individuals and Conduct Covered
These policies apply to all applicants and members, whether related to conduct engaged in by fellow members or by someone not directly connected to Vice Network Inc. and its subsidiaries (e.g., an outside vendor, nda holders, consultant or user).
Conduct prohibited by these policies is unacceptable in the gaming environment and in any member-related setting outside the network, such as during teamspeak discussions, discord posts and member-related social networking mediums.
Reporting an Incident of Harassment, Discrimination or Retaliation
Vice Network Inc. and its subsidiaries encourages reporting of all perceived incidents of discrimination, harassment or retaliation, regardless of the offender’s identity or position. Individuals who believe that they have been the victim of such conduct should discuss their concerns with senior administration as soon as possible.
In addition, Vice Network Inc. and its subsidiaries encourages individuals who believe they are being subjected to such conduct to promptly advise the offender that his or her behavior is unwelcome and to request that it be discontinued. Often this action alone will resolve the problem. Vice Network Inc. and its subsidiaries recognizes, however, that an individual may prefer to pursue the matter through complaint procedures.
Individuals who believe they have been the victims of conduct prohibited by this policy or believe they have witnessed such conduct should discuss their concerns with their immediate supervisor, human resources, any member of the personnel practices committee or any ombudsman.
Vice Network Inc. and its subsidiaries encourages the prompt reporting of complaints or concerns so that rapid and constructive action can be taken before relationships become irreparably strained. Therefore, while no fixed reporting period has been established, early reporting and intervention have proven to be the most effective method of resolving actual or perceived incidents of harassment.
Any reported allegations of harassment, discrimination or retaliation will be investigated promptly. The investigation may include individual interviews with the parties involved and, where necessary, with individuals who may have observed the alleged conduct or may have other relevant knowledge.
Vice Network Inc. and its subsidiaries will maintain confidentiality throughout the investigatory process to the extent consistent with adequate investigation and appropriate corrective action.
Retaliation against an individual for reporting harassment or discrimination or for participating in an investigation of a claim of harassment or discrimination is a serious violation of this policy and, like harassment or discrimination itself, will be subject to disciplinary action. Acts of retaliation should be reported immediately and will be promptly investigated and addressed.
Misconduct constituting harassment, discrimination or retaliation will be dealt with appropriately. Responsive action may include, for example, training, referral to counseling or disciplinary action such as a warning, reprimand, withholding of a promotion, reassignment, temporary suspension, or termination of membership, as Vice Network Inc. and its subsidiaries believes appropriate under the circumstances.
If a party to a complaint does not agree with its resolution, that party may appeal to Vice Network Inc. and its subsidiaries’ chief operating officer.
False and malicious complaints of harassment, discrimination or retaliation (as opposed to complaints that, even if erroneous, are made in good faith) may be the subject of appropriate disciplinary action.
